Imagine you are counsel for Bubbles Inc. helping with the drafting and negotiating of this agreement. Specifically, as counsel, the company has asked you to protect them should any dispute arise in the future by improving upon any of the given contract provisions. The company also wants you to comment on any other issues that should concern them and this agreement with Nike Inc. Additionally, if any of the contract clauses shift any type of risk to the seller, please identify those sections and briefly comment on the type of risk. Your client is very much interested in knowing all of its potential risks.
In reviewing the contract, you may use either of the following two approaches: (i) edit and review the contract by using the track changes feature on Microsoft word. Where appropriate, you may also insert comment bubbles to reflect any proposed changes or additions; or (ii) you may prepare a memorandum similar to the one provided on pp. 210-214 of your textbook.
